Terms of Service

These Terms of Service (“Terms”) govern the provision of garden-related services by Maple Grove Gardens Ltd. (“Maple Grove Gardens Ltd.,” “we,” “us,” or “our”) to clients (“you” or “Client”). By booking, purchasing, accessing, or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use our services.

1. Introduction and Acceptance of Terms

These Terms form a legally binding agreement between you and Maple Grove Gardens Ltd. for the provision of our services in Canada. You represent and warrant that you have the legal authority to enter into this agreement on behalf of yourself or any entity you represent.

We may provide services in person, by consultation, by site visit, by written plan, or through other agreed methods. Any additional written proposal, estimate, work order, invoice, or service agreement issued by Maple Grove Gardens Ltd. may supplement these Terms. In the event of a conflict, any separately signed written agreement will prevail to the extent of the conflict.

2. Scope of Services

Maple Grove Gardens Ltd. provides garden and yard services, which may include, without limitation:

Any service estimate or plan is based on the information available at the time of assessment. Conditions such as weather, soil quality, plant health, property access, underground utilities, pests, disease, and pre-existing damage may affect performance, timing, and results.

Unless expressly agreed in writing, we do not provide arborist services, landscape construction, pest extermination, electrical work, plumbing work, or legal/regulatory permits or approvals.

3. User Obligations and Responsibilities

You are responsible for the condition of plants, soil, turf, irrigation systems, and landscape features unless damage is caused solely by our proven negligence.

You agree not to interfere with our personnel, equipment, or work methods and not to request unlawful, unsafe, or environmentally prohibited activities.

4. Payment Terms and Conditions

Fees are based on our quoted rates, estimates, service plans, or invoices. Unless otherwise stated, all amounts are in Canadian dollars (CAD).

If a service request requires additional work because of unforeseen site conditions, change requests, or client-requested additions, we may issue a revised estimate or charge additional fees, subject to your approval where reasonably practicable.

We reserve the right to suspend or refuse service for overdue accounts, charge disputes made in bad faith, or failure to provide reasonable access or instructions.

5. Cancellation and Refund Policy

You may cancel or reschedule a service by providing reasonable notice. Cancellation terms may vary depending on the type of service, seasonality, materials ordered, and labour reserved.

Weather, unsafe conditions, or access issues may require rescheduling. In such cases, we will make reasonable efforts to arrange a new service date. Delays caused by weather or site conditions do not automatically entitle you to a refund.

6. Liability Limitations

To the fullest extent permitted by applicable Canadian law, Maple Grove Gardens Ltd. shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of enjoyment, loss of use, or business interruption, arising out of or related to our services or these Terms.

Without limiting the foregoing, we are not responsible for:

Where liability cannot be excluded by law, the total aggregate liability of Maple Grove Gardens Ltd. for any claim arising from or related to the services shall be limited to the amount paid by you for the specific service giving rise to the claim during the three (3) months preceding the event giving rise to the claim, or the minimum amount permitted by law, whichever is greater.

Nothing in these Terms excludes or limits liability that cannot be excluded under applicable law, including liability for gross negligence, wilful misconduct, or other non-excludable statutory obligations.

7. Intellectual Property Rights

Unless otherwise agreed in writing, all designs, concepts, planting plans, drawings, documents, specifications, schedules, photographs, text, templates, and other materials created by Maple Grove Gardens Ltd. remain our intellectual property or the property of our licensors until full payment is received, where applicable.

Upon full payment, you receive a non-exclusive, non-transferable license to use final deliverables for the intended property and purpose. You may not reproduce, sell, distribute, modify, or reuse our materials for other properties or commercial purposes without our prior written consent.

We may retain copies of design materials, notes, and photographs for recordkeeping, training, quality control, and marketing purposes, subject to applicable privacy laws and any written confidentiality obligations.

8. Data Protection and Privacy

Maple Grove Gardens Ltd. collects, uses, stores, and discloses personal information in accordance with applicable Canadian privacy laws, including the Personal Information Protection and Electronic Documents Act (PIPEDA), where applicable, and other relevant provincial privacy requirements.

We may collect personal information such as your name, address, phone number, email address, service preferences, billing information, property details, and communications with us. We use this information to:

If you provide personal information about another person, you represent that you have the authority and necessary consent to do so.

9. Force Majeure

Maple Grove Gardens Ltd. shall not be liable for any delay or failure to perform due to circumstances beyond our reasonable control, including but not limited to extreme weather, storms, flood, fire, disease outbreaks, labour disruptions, supply shortages, transport disruptions, acts of God, government orders, public health restrictions, power outages, or failure of third-party systems or suppliers.

During a force majeure event, we may suspend performance, reschedule services, or modify the scope or timing of services as reasonably necessary. We will use reasonable efforts to mitigate the impact of such events.

10. Changes to Terms

We may update or modify these Terms from time to time to reflect operational, legal, or regulatory changes. The updated Terms will be posted or otherwise made available to you and will take effect on the date indicated or, if no date is specified, upon posting or delivery.

Your continued use of our services after the effective date of any updated Terms constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using our services.

11. Applicable Law and Jurisdiction

These Terms and any dispute, claim, or proceeding arising out of or relating to them or the services shall be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

You agree that the courts located in Ontario, Canada shall have exclusive jurisdiction over any legal proceeding arising from or relating to these Terms, subject to any mandatory consumer protection or other non-waivable rights under applicable law.

13. Severability Clause

If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, that provision shall be enforced to the maximum extent permitted by law and the remaining provisions shall continue in full force and effect. If necessary, the invalid provision shall be deemed modified to the minimum extent required to make it valid and enforceable while preserving the original intent as closely as possible.
